3. Services Description
Pinnacle Legal provides the following specialized legal services:
Arbitration & Alternative Dispute Resolution:
Representation in arbitration proceedings under Thai Arbitration Act, including case assessment, document preparation, hearing attendance, and award enforcement coordination.
Franchise & Distribution Agreements:
Drafting, review, and negotiation of franchise and distribution agreements for Thai markets, including intellectual property provisions, territory definitions, and termination frameworks.
Non-Profit & Foundation Registration:
Facilitation of foundation and association registration under Thai Civil and Commercial Code, including document preparation, provincial filing, and post-registration compliance guidance.
4. Client Engagement
Engagement Process:
- Initial consultation to assess service requirements and determine appropriateness of engagement
- Written engagement agreement specifying scope of services, fees, and deliverables
- Signed agreement required before commencement of substantive legal work
- Conflict of interest check conducted prior to engagement acceptance
Scope Limitations:
Services are limited to matters specified in the engagement agreement. Additional services require separate written agreement. We reserve the right to decline representation for any matter at our discretion.
5. Client Responsibilities
Clients agree to:
- Provide accurate, complete, and timely information relevant to legal matters
- Respond promptly to requests for documents, information, or decisions
- Maintain confidentiality of attorney-client communications and work product
- Comply with payment terms specified in engagement agreements
- Inform us immediately of any developments affecting the legal matter
- Review and approve documents before submission or execution
- Follow legal advice provided or inform us if choosing different course of action
6. Payment Terms
Fee Structure:
- Fixed fees for defined service scopes as specified in engagement agreements
- Fees quoted in Thai Baht (THB)
- Payment terms outlined in individual engagement agreements
- Additional services beyond agreed scope charged separately with prior authorization
Payment Methods:
Bank transfer to designated account. Payment instructions provided in engagement agreement.
Late Payment:
Overdue payments may result in suspension of services until payment is received. Interest may be charged on overdue amounts as permitted by Thai law.
7. Intellectual Property
Our Intellectual Property:
All content on this website, including text, graphics, logos, and design elements, is owned by Pinnacle Legal or licensed to us. Unauthorized use, reproduction, or distribution is prohibited.
Work Product:
Legal documents prepared for clients become client property upon full payment. We retain copies for record-keeping as required by professional obligations.
License to Use Website:
We grant you a limited, non-exclusive, non-transferable license to access and use this website for informational purposes. You may not modify, copy, distribute, or create derivative works based on website content.
8. Confidentiality
We maintain strict confidentiality in accordance with Thai attorney-client privilege and professional ethics rules. Client information is protected and disclosed only as required by law or with client authorization.
Clients must also maintain confidentiality of legal strategies, work product, and communications shared during representation.

Clients may terminate engagement at any time with written notice. Fees for services completed through termination date remain payable.
Our Termination Rights:
We may terminate representation if client breaches agreement terms, fails to pay fees, provides false information, or if conflict of interest arises. We will provide reasonable notice except where immediate termination is necessary.
Post-Termination:
Upon termination, we will provide client with file materials and cooperate with transition to new counsel if requested.
12. Dispute Resolution
Governing Law:
These Terms and Conditions are governed by the laws of Thailand. Professional conduct is governed by Lawyers Council of Thailand regulations.
Jurisdiction:
Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of Thai courts in Bangkok.
Informal Resolution:
We encourage informal resolution of any disputes through direct communication before pursuing formal proceedings.
13. General Provisions
Entire Agreement:
These Terms and Conditions, together with engagement agreements, constitute the entire agreement regarding website use and service provision.
Severability:
If any provision is found invalid or unenforceable, remaining provisions remain in full force and effect.
Waiver:
Failure to enforce any provision does not constitute waiver of that provision or any other provision.
Assignment:
You may not assign your rights or obligations under these terms without our written consent.
